VoxRT ("VoxRT," "we," "us," or "our") operates the website at voxrt.com and offers SDKs, software, and supporting products for on-device voice AI (collectively, the "Services").
By accessing or using the website, requesting access to our SDKs, or otherwise using any of our Services, you ("you," "your," or "user") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Services.

You must be at least 18 years old to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
The Services are not directed to children. We do not knowingly collect personal information from anyone under the age of 18 through the website. If you believe a minor has provided us with personal information, please contact us at help@voxrt.com and we will take steps to delete it.
We reserve the right, in our sole discretion, to suspend or terminate access to the Services and to refuse any current or future use of the Services.
VoxRT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the website at voxrt.com for your own internal evaluation and informational purposes. This license is personal to you and may not be assigned or sublicensed. All rights not expressly granted are reserved.
You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the website, including all applicable export-control laws governing technical data and software.
The website is provided on an "as is" basis. No warranty is given about the quality, accuracy, functionality, availability, or performance of the website, and we reserve the right to suspend, withdraw, amend, modify, or vary the website without notice and without incurring any liability to you.
Except as expressly permitted by us in writing, you agree not to reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble any portion of the website or our Services. You will not take any measures to interfere with or damage the website. All rights not expressly granted by VoxRT are reserved.
Access to our SDKs, software, and supporting products is granted under a separate written license agreement between VoxRT and the licensee. Nothing on the website constitutes an offer or grant of a license to any SDK, software, or supporting product. Marketing materials, product descriptions, availability statements, and performance figures published on the website are provided for general informational purposes only, may change without notice, and do not form part of any binding contract.
If you receive evaluation copies, beta builds, or other pre-release materials from VoxRT, those materials are provided subject to the terms of the applicable evaluation or beta agreement and are confidential.
If you submit a contact form, request access to our SDKs, or otherwise provide information to us through the website, you confirm that the information you provide is accurate and that you are authorized to provide it. We may use this information to respond to your inquiry, evaluate your fit for our design-partner or customer programs, and communicate with you about VoxRT, in accordance with our Privacy Policy.
You agree not to use the website or any other Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property, privacy, or other rights of any third party; (c) transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable; (d) attempt to gain unauthorized access to any part of the Services or to systems or networks connected to the Services; (e) probe, scan, or test the vulnerability of the Services or circumvent any security or authentication measures; or (f) interfere with or disrupt the integrity or performance of the Services.
You acknowledge and agree that VoxRT may disclose your information if required to do so by law or in the good-faith belief that such disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that content violates the rights of third parties; (d) protect the rights, property, or personal safety of VoxRT, its employees, users, or the public; or (e) facilitate a transfer or sale of the Services to another entity.
VoxRT's SDKs, software, and supporting products incorporate machine-learning models that produce outputs such as voice activity detection, wake-word detections, keyword spottings, transcriptions, intent inferences, speaker identifications, and synthesized speech. These outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for a particular use. You are responsible for evaluating the appropriateness of any output for your application and for putting in place any review, validation, or human-oversight processes appropriate to your use case.
The Services are not designed, intended, or authorized for use in any application where failure could reasonably be expected to result in death, personal injury, severe property damage, or severe environmental damage (including without limitation life-support systems, emergency response, autonomous vehicles, nuclear facilities, weapons systems, or air traffic control). You assume all risk and liability for any such use.
The website and other Services may incorporate third-party content, libraries, and services. The website may also contain links to third-party websites or services that are not owned or controlled by VoxRT. We assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.
The design of the website, along with all text, templates, scripts, graphics, interactive features, trademarks, service marks, and logos contained therein ("Marks"), are owned by or licensed to VoxRT, subject to copyright and other intellectual-property rights under U.S. and foreign laws and international conventions. "VoxRT" and the VoxRT logo are trademarks of VoxRT. You agree not to use, copy, or distribute anything contained within the Services unless we have given express written permission.
By accessing or using the website, you agree to be bound by these Terms. These Terms remain in effect until terminated.
VoxRT may suspend, restrict, or terminate your access to the Services at our sole discretion. Upon termination, all licenses granted in these Terms will terminate. Sections that by their nature should survive termination (including without limitation Sections 9, 11, 12, 13, and 14) will continue to apply.
Your use of the Services is at your sole risk. We expressly disclaim any and all responsibility and liability for your use of the Services and for any outputs generated by our SDKs or software.
THE SERVICES ARE PROVIDED ON AN "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE" BASIS. VOXRT, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED, IMPLIED, OR STATUTORY, RELATING TO THE SERVICES AND THEIR CONTENT, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS.
VOXRT DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE CONTENT, OUTPUTS, OR INFORMATION OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR (E) THE QUALITY OF ANY SDK, SOFTWARE, OR SUPPORTING PRODUCT WILL MEET YOUR EXPECTATIONS.
IN NO EVENT SHALL VOXRT BE LIABLE FOR ANY DIRECT, INDIRECT, GENERAL, SPECIAL, EXEMPLARY, COMPENSATORY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, AND ERRORS, MISTAKES, OR INACCURACIES OF ANY CONTENT OR OUTPUTS GENERATED BY THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
For jurisdictions that do not allow us to limit our liability, our liability is limited to the smallest extent possible by law. Specifically, we do not disclaim liability for: (a) death or personal injury caused by our negligence; (b) fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded.
WHERE PERMITTED BY APPLICABLE LAW, YOU AGREE THAT OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED $100 OR THE TOTAL AMOUNT YOU PAID TO VOXRT WITHIN THE LAST TWELVE (12) MONTHS, WHICHEVER IS GREATER.
You understand and agree that you download or otherwise obtain material or data through the Services at your own discretion and risk, and that you will be solely responsible for any damages to your device or loss of data resulting from the download of such material or data.
Informal Resolution. Before filing any formal claim, you agree to first contact us at help@voxrt.com and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration. If we cannot resolve the dispute informally, you and VoxRT agree to resolve any claims relating to these Terms or the Services through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, where applicable, its Consumer Arbitration Rules), except as set forth below. The arbitration will be conducted in the English language in the State of Delaware. Judgment on the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver. YOU AND VOXRT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Exceptions. Either party may bring claims in small claims court if the claims qualify. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual-property rights.
Opt-Out. You may opt out of this arbitration provision by sending written notice to help@voxrt.com within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the courts described in Section 14.
You agree to indemnify, defend, and hold harmless VoxRT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top. For material changes, we will provide notice through the website or by other means. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
